Terms of Service

The rules for using Cognardo Workbench across the website, Chrome extension, account features, sync features, AI features, billing features, and support channels.

These Terms of Service govern your access to and use of Cognardo Workbench, including the Cognardo Workbench website, Chrome extension, account features, sync features, AI features, billing features, support channels, and related services.

Cognardo Workbench is operated under the public trade name Cognardo. For public-facing contact, Cognardo Workbench is represented by Raven Black.

By creating an account, installing the extension, enabling product features, using the website, using the Chrome extension, or accessing any part of Cognardo Workbench, you agree to these Terms.

If you do not agree to these Terms, do not use Cognardo Workbench.

1. Scope of these Terms

These Terms apply to:

  • https://workbench.cognardo.com
  • the Cognardo Workbench Chrome extension
  • Cognardo Workbench account, sync, AI, billing, and support services
  • product pages, settings, dashboards, account areas, and related services
  • any feature, tool, API, workflow, template, prompt, sequence, or content made available through Cognardo Workbench

These Terms should be read together with:

  • the Privacy Policy at /legal/privacy
  • the Acceptable Use Policy at /legal/acceptable-use
  • the Refund Policy at /legal/refund-policy
  • the Cookie Policy at /legal/cookie-policy
  • the Data Processing page at /legal/data-processing

If a separate written agreement applies to your use of Cognardo Workbench, that agreement will control only where it expressly conflicts with these Terms.

2. What Cognardo Workbench does

Cognardo Workbench is a browser-extension and web-based workspace for people who use AI tools seriously.

It helps users save, organize, search, transform, summarize, compare, cite, copy, export, verify, and sync prompts, chats, AI responses, scratchpads, instruction profiles, selected text, page content, and related AI work.

Depending on your settings and the features you use, Cognardo Workbench may operate locally in your browser, sync data to cloud infrastructure, process content through backend services, or send user-submitted content to third-party providers needed to provide AI, search, authentication, infrastructure, billing, or support features.

3. Eligibility

You must be at least 13 years old, or old enough to manage your own Google Account in your country, whichever is higher.

By using Cognardo Workbench, you confirm that:

  • you meet the minimum age requirement
  • you have the legal capacity to agree to these Terms
  • you are not prohibited from using the service under applicable law
  • you will use Cognardo Workbench only in compliance with these Terms and applicable laws

If you use Cognardo Workbench on behalf of a business, client, employer, organization, or other entity, you represent that you have authority to do so and that you are responsible for that use.

4. Accounts

Some Cognardo Workbench features require an account.

When you create or use an account, you agree to:

  • provide accurate account information
  • keep your login credentials secure
  • keep your email address accessible and up to date
  • protect your devices, browser profile, API keys, session tokens, and authenticated sessions
  • notify us if you suspect unauthorized access
  • use only accounts that you are authorized to access

You are responsible for activity that occurs through your account, browser profile, authenticated extension, or session, unless the activity was caused by our breach of these Terms or applicable law.

You must not share API keys, session tokens, exported local storage, passwords, authentication data, or account credentials with unauthorized parties.

5. Google sign-in and third-party authentication

Cognardo Workbench may allow you to sign in using Google or another supported authentication provider.

If you use Google sign-in or another third-party authentication method, your use of that provider is also governed by that provider’s own terms, privacy policy, and account rules.

We may rely on authentication data from these providers to verify your identity, create or access your account, connect your session, and provide account features.

6. User content

“User content” means content that you submit, save, sync, process, analyze, generate, import, export, copy, transform, or otherwise use with Cognardo Workbench.

User content may include:

  • prompts
  • prompt sequences
  • AI conversations
  • AI responses
  • scratchpads
  • instruction profiles
  • selected text
  • webpage text
  • source URLs
  • citation links
  • generated summaries
  • optimized prompts
  • flashcards
  • quizzes
  • rewrites
  • cross-model comparison outputs
  • citation analysis results
  • imported or exported files
  • related metadata

You retain ownership of your user content.

These Terms do not transfer ownership of your prompts, chats, scratchpads, saved responses, or other user content to Cognardo Workbench.

7. License you give us to operate the service

To provide Cognardo Workbench, you give us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, transform, display, analyze, format, sync, export, and otherwise use your user content only as needed to:

  • provide the features you request
  • save and organize your workspace
  • authenticate and maintain your account
  • provide cloud sync and account restore where enabled
  • provide AI actions where requested
  • provide citation analysis and source verification where requested
  • provide copy, export, import, and formatting tools
  • generate product metadata and workspace organization
  • provide smart suggestions and quality signals
  • provide account, billing, support, security, and compliance functions
  • improve Cognardo Workbench
  • create aggregated or de-identified intelligence signals where Cloud Sync & Intelligence is enabled
  • develop related Cognardo products using aggregated or de-identified intelligence signals as described in the Privacy Policy

This license exists only so we can operate, secure, support, improve, and provide Cognardo Workbench and related Cognardo products. It does not allow us to sell your raw private workspace content or publish your private prompts, chats, scratchpads, or saved responses as a public dataset.

8. Your responsibility for user content

You are responsible for your user content and for how you use Cognardo Workbench.

You represent and agree that:

  • you have the rights and permissions needed to submit, save, sync, analyze, transform, export, or otherwise process your user content
  • your user content does not violate the rights of any third party
  • your user content does not violate law, contract, platform rules, or confidentiality obligations
  • you will not submit content that you are not authorized to process
  • you will not use Cognardo Workbench to process sensitive, confidential, regulated, or restricted content unless you are legally authorized and accept the processing risk

You are responsible for reviewing outputs before relying on them, sharing them, publishing them, or using them in professional, business, academic, legal, medical, financial, or regulated contexts.

9. Sensitive and regulated content

Cognardo Workbench is not designed for processing highly sensitive, confidential, regulated, or restricted information.

You must not use Cognardo Workbench to submit, save, sync, analyze, summarize, transform, compare, or verify:

  • medical records or protected health information
  • financial account credentials or regulated financial records
  • government ID numbers
  • passwords, secrets, API keys, private keys, or authentication tokens
  • children’s personal data
  • confidential employer, client, customer, or third-party information without authorization
  • attorney-client privileged information
  • highly sensitive personal information
  • regulated data that you are not authorized to process
  • content you do not have the right to submit or process

If you submit sensitive, confidential, regulated, or unauthorized third-party content despite this restriction, you are responsible for the consequences and for ensuring that you have the required rights, authorizations, safeguards, and legal basis.

10. Cloud Sync & Intelligence

Cloud Sync & Intelligence is disabled by default.

When you enable Cloud Sync & Intelligence, you allow Cognardo Workbench to store and process supported workspace data in cloud infrastructure and use cloud-backed processing to provide features such as:

  • cloud backup
  • restore
  • cross-device sync
  • AI actions
  • prompt optimization
  • citation analysis
  • source verification
  • hallucination analysis
  • AI action history
  • account-based entitlements
  • smart suggestions
  • product improvement
  • aggregated or de-identified intelligence signals

Cloud Sync & Intelligence may process supported data such as prompts, conversations, AI responses, scratchpads, instruction profiles, citation links, source URLs, model/provider metadata, AI action inputs and outputs, and related workspace metadata.

When Cloud Sync & Intelligence is enabled, Cognardo Workbench may use synced data to generate aggregated or de-identified intelligence signals. These signals may include cited URLs, source domains, brand or source mentions, citation patterns, source-quality signals, model/provider behavior trends, claim-source support patterns, and similar derived insights.

These intelligence signals may be used to improve Cognardo Workbench and to develop related Cognardo products, including products that help users understand AI citation behavior, source visibility, brand mentions, and LLM-facing content performance.

We do not use your raw private prompts, chats, scratchpads, saved responses, or account content as a public dataset. We do not publish your private workspace content. We do not use your user content for third-party advertising. We do not create third-party advertising profiles from your workspace content.

If you do not want your synced workspace data to be used for Cloud Sync & Intelligence, keep Cloud Sync & Intelligence disabled. Some cloud, sync, AI, and analysis features may not work without it.

If you disable Cloud Sync & Intelligence later, future cloud sync and intelligence processing will stop where supported. Disabling it does not automatically delete data that was already synced, and it may not reverse aggregated or de-identified intelligence signals that were already generated.

To delete existing cloud account data, you should delete the relevant items, delete your account where available, or contact support.

11. Local storage and extension data

Some Cognardo Workbench data may be stored locally in your browser or Chrome extension storage.

Local storage may include account state, settings, prompts, conversations, scratchpads, indexes, sync metadata, permitted origins, analytics queues, and other product data.

You are responsible for the security of the devices and browser profiles where Cognardo Workbench is installed.

Removing the Chrome extension from your browser clears local extension data from that browser. Account deletion clears cloud account data through the account deletion process, but it may not remove local copies from every browser or device where the extension remains installed.

12. Chrome extension permissions and site access

Cognardo Workbench requires certain Chrome permissions to provide extension features.

These may include permissions for storage, active tab access, scripting, web navigation, alarms, identity, idle detection, supported AI-site access, and optional access to user-approved HTTPS sites.

By installing and using the extension, you understand that Cognardo Workbench may operate on supported AI platforms and user-approved sites to provide features such as:

  • saving conversations
  • organizing prompts and responses
  • copying content
  • inserting prompts
  • saving content to scratchpads
  • summarizing selected or page content
  • optimizing prompts
  • checking citations
  • running citation and hallucination analysis
  • syncing supported workspace data
  • displaying the sidebar, floater, or related UI

Optional access to additional websites is user-enabled and revocable. You are responsible for granting site access only where you have the right to use Cognardo Workbench with that content.

Cognardo Workbench does not give you permission to violate third-party website terms, AI platform rules, copyright restrictions, confidentiality obligations, or applicable law.

13. AI features and outputs

Cognardo Workbench includes AI-powered features that may summarize, explain, optimize, rewrite, expand, shorten, compare, classify, generate, or analyze content.

AI features may send user-submitted content to third-party AI, search, or source-verification providers depending on the feature and configuration.

AI outputs may be inaccurate, incomplete, misleading, outdated, unsafe, biased, unsupported, or unsuitable for your intended use.

Citation analysis, hallucination analysis, source verification, source-quality signals, and related features are designed to reduce risk, but they do not guarantee that:

  • an output is true
  • a source is accurate
  • a source fully supports a claim
  • a citation is sufficient
  • a claim is complete
  • a legal, medical, financial, academic, or professional conclusion is correct
  • content is safe to publish or rely on

You are responsible for reviewing, editing, verifying, and validating all outputs before using them.

14. No professional advice

Cognardo Workbench is not a law firm, medical provider, financial advisor, tax advisor, compliance advisor, academic institution, or professional services provider.

Cognardo Workbench does not provide legal, medical, financial, tax, investment, compliance, employment, academic, or other professional advice.

You must not rely on Cognardo Workbench or AI outputs as a substitute for professional judgment or advice.

If your use case involves legal, medical, financial, tax, compliance, academic, safety-critical, employment, or regulated decisions, you are responsible for consulting qualified professionals and independently verifying all outputs.

15. Template library and shared resources

Cognardo Workbench may provide templates, prompts, sequences, workflows, examples, categories, recommendations, or other shared resources.

These resources are provided for convenience and productivity. They may not be accurate, complete, suitable, safe, or appropriate for every use case.

Unless otherwise stated, you may use templates and resources made available inside Cognardo Workbench for your personal or internal professional use with the product.

You may not resell, redistribute, scrape, bulk copy, repackage, clone, or commercially exploit Cognardo Workbench templates, prompt libraries, sequences, workflows, or proprietary resources without permission.

Imported templates may receive updates where supported. Forked or duplicated templates may become unlinked from future updates.

16. Exports, downloads, and local files

Cognardo Workbench may allow you to export or download content in formats such as text, Markdown, JSON, Word, PDF, CSV, or other supported formats.

You are responsible for:

  • reviewing exported content
  • securing downloaded files
  • complying with third-party rights and confidentiality obligations
  • deleting local files when no longer needed
  • avoiding export of sensitive or unauthorized content

Exported files may contain personal, confidential, proprietary, or sensitive information if that information was present in your workspace. Cognardo Workbench is not responsible for how you store, share, publish, or use exported files after download.

17. Acceptable use

You must comply with the Acceptable Use Policy at /legal/acceptable-use.

You must not use Cognardo Workbench for:

  • illegal activity
  • malware, phishing, credential theft, spam, fraud, or platform abuse
  • unauthorized scraping, monitoring, surveillance, or data collection
  • processing content without rights or authorization
  • harassment, abuse, hate, exploitation, violent extremism, or sexual content involving minors
  • circumventing access controls, rate limits, billing systems, entitlement checks, or extension permissions
  • reverse engineering, attacking, disrupting, or overloading the service
  • misrepresenting AI-generated or citation-checked content as guaranteed truth
  • using AI outputs as final professional advice without review
  • violating third-party platform terms, including AI sites where the extension runs

We may suspend, limit, throttle, terminate, or refuse service if we believe your use violates these Terms, the Acceptable Use Policy, applicable law, platform requirements, security expectations, or the rights of others.

18. Plans, credits, and billing

Cognardo Workbench may offer plans such as Free, Pro, and Max.

Plan features, limits, credits, entitlements, and availability may vary. We may change plan features, limits, pricing, credits, or entitlements from time to time, subject to applicable law and any commitments made at the time of purchase.

Paid checkout is not currently enabled. Once paid billing is enabled, payments may be processed by Paddle.

When paid billing is enabled:

  • subscriptions may be billed monthly
  • billing cycles may begin when you sign up for or upgrade to a paid plan
  • subscriptions may renew automatically unless canceled
  • plan downgrades may take effect after the current billing cycle ends
  • cancellation may stop future renewals but may not automatically refund the current billing period
  • payment processors may handle payment, tax, invoice, fraud-prevention, buyer-support, and subscription data
  • failure to pay may result in downgrade, suspension, loss of paid entitlements, or loss of access to paid features

You are responsible for reviewing plan details, pricing, renewal terms, credit rules, and cancellation terms before purchasing.

19. Credit rules

Cognardo Workbench may use credits for AI actions, citation analysis, cross-model comparison, or other metered features.

Unless otherwise stated:

  • monthly plan credits expire monthly
  • unused monthly credits do not roll over
  • top-up credits remain available until used or until account deletion
  • credits have no cash value
  • credits are not transferable
  • credits are non-refundable except where required by law or Paddle’s buyer terms
  • promotional credits may expire, be limited, or be revoked if misused
  • deleting your account causes remaining credits to expire
  • violating these Terms may result in loss of credits or entitlements

Credit usage may be calculated based on feature type, provider cost, model usage, request size, output size, processing time, or other usage factors.

We may correct credit balances where there is an error, abuse, refund, chargeback, technical issue, or billing adjustment.

20. Refunds

Refunds are governed by the Refund Policy at /legal/refund-policy.

Except where required by law or Paddle’s buyer terms, subscription fees, monthly credits, top-up credits, consumed credits, expired credits, and promotional credits are non-refundable.

Because paid checkout is not currently enabled, plan changes are currently handled through support. Once paid billing is enabled, refund and cancellation processes may involve Paddle or another payment provider disclosed at that time.

Refunds may be denied for consumed credits, abuse, violation of these Terms, violation of the Acceptable Use Policy, fraud, chargeback abuse, partial billing-period use, or other reasons described in the Refund Policy.

21. Taxes and payment providers

Once paid billing is enabled, payment providers may calculate, collect, remit, or process taxes depending on your location, transaction type, and payment method.

You are responsible for any taxes, fees, or charges that apply to your purchase, except where a payment provider is responsible for collecting or remitting them.

Payment providers may have their own buyer terms, refund terms, privacy policies, and support processes.

22. Service changes, availability, and beta features

Cognardo Workbench is evolving. Some features may be experimental, limited, beta, usage-capped, or subject to change.

We may modify, suspend, discontinue, rename, restrict, or replace any feature, plan, entitlement, template, provider integration, model, credit rule, workflow, permission, or service component at any time.

We do not guarantee that Cognardo Workbench will always be available, uninterrupted, secure, error-free, or compatible with every browser, website, AI platform, model, or third-party service.

Third-party AI platforms, browser APIs, payment providers, cloud providers, and model providers may change their services in ways that affect Cognardo Workbench.

23. Third-party services

Cognardo Workbench may interact with or depend on third-party services, including:

  • Chrome and Chrome Web Store
  • Google sign-in
  • Firebase and Google Cloud
  • Cloudflare
  • OpenAI
  • Anthropic
  • Google Gemini
  • Google Custom Search
  • Paddle, once paid billing is enabled
  • supported AI platforms such as ChatGPT, Claude, Gemini, Perplexity, and Copilot
  • email delivery providers
  • websites where you enable Cognardo Workbench features

Third-party services are governed by their own terms, privacy policies, platform rules, APIs, rate limits, data policies, and availability.

Cognardo Workbench is not responsible for third-party services, third-party content, third-party AI outputs, third-party platform changes, or third-party failures.

Unless expressly stated, Cognardo Workbench is not affiliated with, endorsed by, sponsored by, or officially connected to OpenAI, Anthropic, Google, Microsoft, Perplexity, Paddle, Chrome, or any other third-party provider.

24. Intellectual property

Cognardo Workbench, Cognardo, the website, extension, user interface, product design, workflows, templates, documentation, branding, logos, code, features, systems, databases, and related materials are owned by or licensed to Cognardo Workbench and are protected by intellectual property and other laws.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, scrape, clone, or create competing products from Cognardo Workbench except where expressly allowed by law or written permission.

You may not remove, obscure, or alter proprietary notices, branding, attribution, or legal notices.

25. Feedback

If you send ideas, suggestions, bug reports, feature requests, comments, or other feedback, you allow us to use that feedback without restriction or compensation.

You agree that feedback may be used to improve Cognardo Workbench, develop related products, create new features, fix issues, or update documentation.

Do not send feedback that you do not have the right to share.

26. Suspension and termination

We may suspend, restrict, throttle, downgrade, or terminate your access to Cognardo Workbench if we believe that:

  • you violated these Terms
  • you violated the Acceptable Use Policy
  • you violated applicable law
  • your use creates security, legal, operational, financial, or reputational risk
  • your payment fails or is disputed
  • your account is involved in fraud, abuse, spam, scraping, unauthorized access, or platform abuse
  • your use harms or may harm Cognardo Workbench, users, third parties, infrastructure, or service providers

You may stop using Cognardo Workbench at any time. You may also delete your account where the account deletion feature is available.

27. Account deletion and reactivation

If you delete your account, account deletion begins a 30-day recovery window.

During this recovery window, signing in or signing up again with the same account may reactivate your account.

After the 30-day recovery window, cloud account data is scheduled for deletion or de-identification, subject to legal, billing, fraud-prevention, tax, security, backup, dispute, and compliance retention obligations.

Deleting your account may remove or terminate access to:

  • cloud-synced data
  • prompts
  • conversations
  • scratchpads
  • instruction profiles
  • AI history
  • plan benefits
  • credits
  • account features
  • billing records available through the account interface

Monthly credits and top-up credits expire when your account is deleted.

Account deletion clears cloud account data through the account deletion process. It does not necessarily remove local data from every browser or device where the extension remains installed. To clear local extension data from a browser, remove the Cognardo Workbench Chrome extension from that browser or clear the extension’s browser storage through Chrome controls where available.

Aggregated or de-identified intelligence signals that have already been generated from Cloud Sync & Intelligence may be retained and used after account deletion if they are no longer reasonably linked to your account or private workspace content.

28. Warranty disclaimer

Cognardo Workbench is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, security, and error-free operation.

We do not warrant that:

  • Cognardo Workbench will meet your requirements
  • Cognardo Workbench will be uninterrupted, secure, or error-free
  • AI outputs will be accurate, complete, safe, lawful, or reliable
  • citation analysis will catch every hallucination, weak source, unsupported claim, or broken link
  • cloud sync will always be available or lossless
  • third-party services will remain available or compatible
  • exported files will be suitable for your intended use
  • product analytics, smart suggestions, or quality signals will be complete or accurate

Some jurisdictions do not allow certain warranty exclusions. In those cases, the exclusions apply only to the maximum extent permitted by law.

29. Limitation of liability

To the maximum extent permitted by law, Cognardo Workbench and its operators, contributors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, data, content, credits, opportunities, or reputation.

To the maximum extent permitted by law, our total liability for any claim related to Cognardo Workbench will not exceed the amount you paid to Cognardo Workbench for the service in the three months before the event giving rise to the claim, or INR 5,000, whichever is greater.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if we were advised that damages were possible.

Nothing in these Terms limits liability that cannot be limited under applicable law.

30. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Cognardo Workbench, its operators, contributors, service providers, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses arising from or related to:

  • your use of Cognardo Workbench
  • your user content
  • your violation of these Terms
  • your violation of the Acceptable Use Policy
  • your violation of applicable law
  • your violation of third-party rights
  • your misuse of AI outputs
  • your unauthorized processing of sensitive, confidential, regulated, or third-party content
  • your violation of third-party platform terms

We may control the defense of any matter subject to indemnification. You agree to cooperate with that defense.

31. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Before bringing a formal claim, you agree to first contact us at support@workbench.cognardo.com and try to resolve the dispute informally.

If the dispute cannot be resolved informally, the courts located in India will have jurisdiction, subject to any mandatory consumer protection rights that apply in your location.

Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief where appropriate.

32. Changes to these Terms

We may update these Terms from time to time.

When we make material changes, we may notify you by updating the date at the top of this page, posting a notice on the website, sending an email, showing an in-product notice, or using another reasonable method.

Your continued use of Cognardo Workbench after updated Terms become effective means you accept the updated Terms to the extent permitted by law.

If you do not agree to updated Terms, you must stop using Cognardo Workbench.
